Terms of Service

BuiltCold provides compliance software that helps organizations design, operate, and participate in low-carbon construction material programs, including Buy Clean, embodied carbon, and green code requirements. The platform includes tools for program configuration, material and Environmental Product Declaration (EPD) data management, compliance tracking, and reporting. BuiltCold serves government agencies that administer these programs as well as the private-sector organizations and project teams that participate in or adopt them.

The platform is used by government agencies, private-sector organizations, and their authorized personnel and project teams. Depending on the arrangement, a customer may hold its own account and contract directly with BuiltCold, or may participate within a program administered by another organization. You must provide accurate account information and are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Access to certain features requires authentication.

BuiltCold offers the platform through a flexible model that may include multi-year service contracts, standalone agreements, subscription plans, and no-cost tiers for eligible users. The plan, fees, term, and payment conditions that apply to you are set out in the ordering document, contract, or agreement between you and BuiltCold. Government customers may contract through their own procurement vehicles, in which case those terms govern.

You retain ownership of the program, project, and compliance data you or your authorized users submit to or generate within the platform (“Customer Data”). You grant BuiltCold a limited license to host, process, and use Customer Data solely to provide and support the platform. BuiltCold does not sell Customer Data. On termination, BuiltCold will return or delete Customer Data on request, subject to any retention required by law.

BuiltCold owns all intellectual property in the platform, including its software, models, methodologies, designs, logos, and brand. These Terms grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during your subscription or contract term. No other rights are granted.

The platform integrates with third-party data sources and integration partners to support material evaluation and compliance workflows. Data obtained from these external sources is provided for convenience and may be subject to change. BuiltCold does not control and does not guarantee the accuracy, completeness, or availability of third-party data, and is not responsible for the practices of third-party providers.

You agree to use the platform only for its intended purpose and in compliance with applicable law. You will not misuse the platform, attempt to gain unauthorized access to it or its data, interfere with its operation, or extract, duplicate, redistribute, or commercialize platform data except as permitted by your agreement with BuiltCold or the program you participate in. Violation of this section may result in suspension or termination of access.

BuiltCold maintains an information security program with administrative, technical, and physical safeguards appropriate to the data it processes. Additional detail is available in BuiltCold's security documentation, provided on request. You are responsible for using the platform in a secure manner, including safeguarding your credentials and promptly reporting any suspected unauthorized access.

BuiltCold uses commercially reasonable efforts to keep the platform available and to conduct maintenance in a manner that minimizes disruption. The platform may be unavailable at times due to maintenance, updates, or factors beyond BuiltCold's control.

BuiltCold will perform its services with reasonable skill and care. Except as expressly stated, the platform is provided “as is” and “as available,” and BuiltCold disclaims all other warranties to the fullest extent permitted by law.

To the maximum extent permitted by law, BuiltCold will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the platform. Where a separate agreement sets a liability cap, that cap applies.

You agree to indemnify and hold harmless BuiltCold and its officers, members, and personnel from claims and costs arising from your misuse of the platform or your violation of these Terms, except to the extent caused by BuiltCold's own negligence or misconduct.

BuiltCold may suspend or terminate access for violation of these Terms or misuse of the platform. You may stop using the platform at any time. Provisions that by their nature should survive termination, including data ownership, intellectual property, confidentiality, and limitation of liability, survive.

BuiltCold may update these Terms from time to time. Material changes will be communicated through the platform or by other reasonable means. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles.
